Welcome to Synthix Labs! These Terms of Service (the “Terms”) of Synthix Labs (“Synthix Labs,” “our,” “we,” or “us”) describe your rights and responsibilities when accessing and using our platform and any and all related software, services, and documentation provided by Synthix Labs (collectively, the “Service”). By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms, whether or not you are a registered user of our Service. Synthix Labs reserves the right to modify these Terms, and we will provide notice of these changes as described below (section 13.2). These Terms apply to all visitors, users, and others who access or use the Service (“Users”).

PLEASE READ THESE TERMS CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION PROVISION IN SECTION 12.2 (THE “ARBITRATION AGREEMENT”) AND A CLASS ACTION/JURY TRIAL WAIVER PROVISION IN SECTION 12.3 (THE “CLASS ACTION/JURY TRIAL WAIVER”) THAT REQUIRE, UNLESS YOU OPT OUT PURSUANT TO THE INSTRUCTIONS IN SECTION 12.2, THE EXCLUSIVE USE OF FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES BETWEEN YOU AND US, INCLUDING ANY CLAIMS THAT AROSE OR WERE ASSERTED BEFORE YOU AGREED TO THESE TERMS. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU EXPRESSLY WAIVE YOUR RIGHT TO SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL ON YOUR CLAIMS AGAINST SYNTHIX LABS, AS WELL AS YOUR RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OR PROCEEDING AGAINST SYNTHIX LABS.

1. Our Service

1.1 Eligibility

These Terms constitute a legally binding contract between you and Synthix Labs. You must read and agree to these Terms before using the Service. If you do not agree, you may not use the Service. You may use the Service only if you can form a binding contract with Synthix Labs, and only in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations. If you agree to these Terms on behalf of a company, organization, or other entity, then “you” includes you and that entity and you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to these Terms, and that you agree to these Terms on the entity’s behalf. The Service is not available to anyone under the age of 18, and any use of or access to the Service by anyone under 18 is strictly prohibited.

1.2 Limited License

Subject to the terms and conditions of these Terms, you are granted a non-exclusive, limited, non-transferable, and revocable license to use the Service for your internal business use only as permitted by Synthix Labs or the features of a particular Service. Synthix Labs reserves all rights not expressly granted herein in the Service and its Content. Synthix Labs may terminate this license at any time, for any reason, or no reason.

1.3 User Accounts

Your account (your “User Account”) gives you access to the Service and its features. We may maintain different types of User Accounts for different Users. When creating your User Account, you must provide accurate and complete information and must keep this information up to date. You are solely responsible for the activity that occurs under your User Account, and you must keep your password secure. You must notify Synthix Labs immediately of any breach of security or unauthorized use of your User Account. We are not responsible for any losses caused by unauthorized use of your account.

You may control your User profile and interaction with the Service by changing the settings in your account page.

1.4 Service Rules

You agree not to engage in any of the following prohibited activities:

• Copying, distributing, or disclosing any part of the Service in any medium without authorization.
• Transmitting spam, chain letters, or unsolicited email.
• Attempting to interfere with or compromise the system integrity or security.
• Taking actions that place an unreasonable load on our infrastructure.
• Uploading viruses or other harmful software agents.
• Collecting or harvesting personal data from the Service.
• Impersonating others or conducting fraud.
• Interfering with the proper working of the Service.
• Using the Service for unauthorized purposes or in violation of applicable laws.

The Service is controlled and operated from facilities in the United States. Synthix Labs makes no representations that the Service is appropriate or available for use outside of the United States.

2. User Content

You may submit or make available content such as profile information, comments, questions, and other materials through the Service (“User Content”). By submitting any User Content, you grant Synthix Labs a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, distribute, and display such content.

You represent and warrant that:

• You have obtained all necessary consents to use any person’s name or likeness in the User Content.
• Your User Content will not violate any law, infringe any third-party rights, or contain harmful content.
• You are responsible for any User Content you post.

Synthix Labs takes no responsibility for any User Content posted on the Service, and you agree that we are only acting as a conduit for distribution of your content.

3. Our Proprietary Rights

Except for your User Content, the Service and all materials therein, including software, images, text, and graphics, are the exclusive property of Synthix Labs and its licensors. You may not use, modify, or distribute any Webshare Content unless expressly permitted by these Terms.

12. Governing Law, Arbitration, and Class Action/Jury Trial Waiver

12.1 Governing Law: These Terms are governed by the laws of the State of California.

12.2 Arbitration: Any dispute will be resolved through binding arbitration in San Francisco County, California.

12.3 Class Action/Jury Trial Waiver: You waive your right to a jury trial and any class action claims.

13. General

13.1 Assignment: You may not transfer or assign these Terms without our consent.

13.2 Notification Procedures and Changes: We may notify you of changes via email or other means.

13.3 Entire Agreement/Severability: These Terms constitute the entire agreement between you and Synthix Labs.

13.4 No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver.
